EazyMatch Referral Partner Programme Terms
Effective date: 31 August 2026
These terms govern participation in the EazyMatch Referral Partner Programme. The programme is operated by Data Made Eazy Ltd, a company registered in England and Wales under company number 14874082, with its registered business address at The Old Workshop, Longfrey Cottage, Dorking Road, Chilworth, GU4 8RH, United Kingdom (“Data Made Eazy”, “we”, “us” or “our”).
By applying to join the programme, accepting these terms electronically or using the referral partner portal, you agree to these terms. If you participate on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.
1. Definitions
In these terms:
- Approved Referral means a referral that we have accepted and attributed to you in accordance with these terms.
- Commission means the amount payable to you for a Qualifying Client under section 5.
- EazyMatch means the EazyMatch AI software service operated by Data Made Eazy.
- Net Subscription Revenue means recurring EazyMatch subscription fees actually received and retained by us, excluding VAT and other taxes, refunds, chargebacks, credits, discounts, payment reversals, one-off services, consultancy, implementation charges and any other non-subscription amounts.
- Partner, “you” or “your” means the person or organisation we approve to participate in the programme.
- Qualifying Client means a client resulting from an Approved Referral who becomes and remains a paying EazyMatch subscriber.
- Referral Link means the unique link or referral code issued to you through the partner portal.
2. Joining the programme
You must provide complete and accurate application information. We may approve or reject an application at our discretion and are not required to give a reason. Participation does not begin until we confirm approval.
You must keep your contact, company, tax and payment information accurate and up to date. Partner portal accounts are personal to the approved Partner and must not be transferred or shared with another person without our written permission. You are responsible for keeping your login credentials secure and for activity conducted through your account.
3. Making a referral
You may make a referral by:
- sharing your Referral Link;
- registering the potential client through the partner portal before making an introduction; or
- making another introduction that we expressly agree in writing to attribute to you.
A manual referral should include only the business information reasonably required to identify and contact the potential client. You must have an appropriate lawful basis to provide any personal information to us and, where appropriate, tell the individual that you are introducing them to Data Made Eazy.
Submitting a referral does not automatically make it an Approved Referral. We will confirm its status through the partner portal or in writing.
4. Referral eligibility and attribution
A referral will normally be eligible where:
- the potential client is not already an EazyMatch customer;
- the potential client is not already recorded as an active sales opportunity or engaged prospect of Data Made Eazy;
- the referral was made through an approved method under section 3;
- the potential client becomes a paying EazyMatch subscriber within 90 days of the referral being recorded; and
- the referral was obtained and submitted lawfully and in accordance with these terms.
If more than one Partner claims the same potential client, we will normally attribute the referral to the first Partner who made a valid, evidenced introduction. We may consider the Referral Link, portal registration time, emails, meetings, the client’s own confirmation and our existing sales records. Our reasonable determination will be final for programme administration purposes.
We may reject referrals involving self-referrals, duplicate accounts, related accounts created to generate Commission, false information, fraudulent transactions or attempts to circumvent these terms.
5. Commission
Subject to these terms, you will earn Commission equal to 20% of Net Subscription Revenue received from each Qualifying Client.
Commission applies to the Qualifying Client’s initial paid subscription and subsequent paid renewals. It will also reflect eligible subscription upgrades or downgrades. No Commission is payable on free plans, free trials, unpaid invoices, VAT or other taxes, refunded or charged-back amounts, discounts, credits, implementation work, consultancy, data-enrichment credits or other one-off purchases unless we expressly agree otherwise in writing.
“Lifetime Commission” means that there is no fixed number of months for which Commission is paid. Commission continues for as long as the Qualifying Client maintains a paid EazyMatch subscription and we continue to receive and retain the relevant subscription revenue. It does not mean the lifetime of an individual, business or Partner, and it does not guarantee that a client will remain subscribed for any minimum period.
If a Qualifying Client cancels, Commission stops when paid subscription revenue stops. If the same client reactivates the same EazyMatch customer account or workspace within 12 months, Commission will normally resume. A later return, a materially different entity or a new account may be treated as a new referral.
6. Refunds, credits and reversals
Commission is calculated only on money actually received and retained by us. Commission initially appears as pending and will normally remain pending for 30 days after the relevant customer payment.
If a customer payment is refunded, charged back, reversed, credited or found to be fraudulent, the related Commission may be cancelled or reversed. If that Commission has already been paid, we may deduct the amount from future Commission. If there is insufficient future Commission, we may request repayment of the overpaid amount.
7. Statements and manual payouts
Commission payouts are processed manually. The partner portal may show estimated, pending, approved, paid and reversed Commission. Portal figures may be adjusted to correct errors, refunds, attribution disputes or billing changes.
We will normally review approved Commission monthly. A payout becomes eligible when your approved unpaid balance reaches £50 or the equivalent agreed currency. Balances below the threshold carry forward.
We will provide a Commission statement or make the relevant information available through the portal. Where required, you must provide a valid invoice before payment can be made. Subject to receiving any required invoice and accurate payment details, we will aim to make payment within 14 days of approving the payout.
Payments may be made by bank transfer, Wise or another method agreed with you. You are responsible for any charges imposed by your bank or payment provider. Where currency conversion is required, we may use the exchange rate applied by our payment provider or a reasonable prevailing rate at the time the payout is processed.
You must notify us of a disputed statement or Commission calculation within 30 days of it appearing in the portal or being sent to you. We will investigate the dispute in good faith.
8. Your responsibilities
You must:
- describe EazyMatch accurately and avoid false, misleading or unsubstantiated claims;
- make clear that you are an independent referral partner and not an employee or authorised representative of Data Made Eazy;
- comply with applicable advertising, direct marketing, privacy, anti-bribery, sanctions and competition laws;
- obtain any consent or other lawful basis required for your communications and referrals;
- avoid spam, unlawful cold outreach, deceptive links, impersonation and misleading domain names;
- not make commitments, warranties, discounts or contractual promises on our behalf;
- not bid on our brand names in paid search advertising or register domains, social accounts or business names containing Data Made Eazy or EazyMatch without our written permission; and
- not use the programme in a way that could damage our reputation, systems, customers or commercial relationships.
9. Brand and marketing materials
We grant you a limited, non-exclusive, revocable and non-transferable right to use approved EazyMatch names, logos and marketing materials solely to make referrals under the programme. You must follow any brand guidance we provide and stop using our materials when requested or when your participation ends.
All intellectual property rights in EazyMatch, the partner portal and our marketing materials remain owned by Data Made Eazy or its licensors. Except for the limited permission above, no rights are transferred to you.
10. Data protection and confidentiality
Each party must comply with applicable data protection law. Our handling of partner and referral information is described in our Privacy Policy. You must not submit sensitive personal information or more information than is reasonably necessary to make an introduction.
Each party must keep the other party’s non-public commercial, technical, customer and financial information confidential and use it only for the programme. This obligation does not apply to information that is public through no breach of these terms, already lawfully known, independently developed or required to be disclosed by law.
11. Independent relationship and taxes
You participate as an independent business or contractor. Nothing in these terms creates employment, worker status, a partnership, joint venture, franchise, fiduciary relationship or agency. You have no authority to enter into agreements or incur obligations on our behalf.
You are responsible for declaring and paying your own taxes, social charges and other liabilities arising from Commission. If you are VAT registered or an equivalent sales tax applies, you must provide a valid tax invoice and the relevant registration details. Commission calculations exclude VAT; any VAT properly chargeable on your Commission will be dealt with separately on a valid invoice.
12. Suspension and termination
Either party may end participation in the programme by giving 30 days’ written notice. We may suspend or terminate participation immediately if we reasonably believe there has been fraud, unlawful conduct, a material breach of these terms, misuse of personal data, damage to our reputation, non-payment by a referred client or a security risk.
Termination does not remove Commission already approved and payable. For Qualifying Clients validly attributed before termination, Lifetime Commission will continue after ordinary termination while those clients remain eligible, unless your participation was terminated for fraud, deliberate misconduct or a material breach directly connected with the relevant referral or Commission.
An Approved Referral that has not yet become a paying customer when participation ends may remain eligible for the remainder of its original 90-day attribution period, unless termination resulted from fraud, deliberate misconduct or a material breach.
13. Changes to the programme
We may change the programme or these terms by giving reasonable notice, normally at least 30 days for a material change. Changes will apply prospectively. We will not reduce the 20% rate for an existing Qualifying Client already attributed to you unless the change is required by law, agreed with you, or results from a correction under these terms.
If you do not accept a change, you may end your participation before it takes effect. Continuing to use the portal or make referrals after the effective date constitutes acceptance of the updated terms.
14. Availability and liability
We do not guarantee that the programme, partner portal or EazyMatch will always be available or that any referral will become a customer. Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the preceding paragraph, neither party will be liable to the other for indirect or consequential loss, loss of anticipated savings, loss of opportunity or loss of goodwill arising from the programme. Our total liability arising out of the programme in any 12-month period will not exceed the total Commission paid or payable to you during that same period.
15. General
You may not transfer or assign your participation, account or rights under these terms without our written consent. We may assign these terms as part of a reorganisation, merger, sale of the business or transfer of EazyMatch.
If any provision is found invalid or unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right is not a waiver of that right. These terms, together with the application details, Privacy Policy and any written commission variation agreed by us, form the entire agreement relating to the programme.
Notices relating to the programme may be sent to the email address registered in the partner portal. You can contact us at [email protected].
16. Governing law and jurisdiction
These terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where applicable law requires otherwise.
17. Acceptance record
When you accept these terms electronically, we may record your name, partner or user ID, the version accepted, the date and time of acceptance and your IP address. You should download or retain a copy for your records.
